Introduction

These terms of use ("Terms of Use" / "Terms") apply to the use of www.DoctorScore.com/ ("Website") and the mobile application 'DoctorScore' (collectively referred to as the "Platform") operated by Ayra Enterprises LLP (referred to as "DoctorScore", "We", "Us", "Our"). These Terms govern your ("You" or "Your" or "Yourself" or "User") access and use of the Platform and the services provided by Us through the Platform.

By registering your information on the Platform, You accept and agree to be bound by the Terms. These Terms shall be read in conjunction and together with the Privacy Policy, which forms an integral part of the Terms in relation to Your access to and use of the Platform and the Services (defined below). Please read these Terms and the Privacy Policy carefully prior to using the Platform or availing any of the Services. If You do not agree to these Terms, do not access, or use the Platform or the Services or any part thereof.

12. Disclaimers of Warranty and Liability

12.1 Warranties and Limitations

You expressly acknowledge, understand and agree that:

1. The Platform and other Content are provided by DoctorScore on an "as is" basis without warranty of any kind, express, implied, statutory, or otherwise, including the implied warranties of title, non-infringement, merchantability, or fitness for a particular purpose. Without limiting the foregoing, DoctorScore makes no warranty that the Platform or Services will meet Your requirements, or Your use of the Platform will be uninterrupted, timely, secure, or error-free. No advice or information, whether oral or written, obtained by You from DoctorScore shall create any warranty not expressly stated in the Terms;
2. DoctorScore has endeavoured to ensure that all the information on the Platform is correct and up to date based on inputs received by DoctorScore from the concerned Partners, however, DoctorScore neither warrants nor makes any representations regarding the correctness or completeness of any data (including forms and applicable laws or change in law) or information regarding any other Services provided on the Platform;
3. DoctorScore will have no liability for any of the following: (i) errors, mistakes, or inaccuracies of Content or nay other information available on the Platform; (ii) personal injury, property damage, or other harm resulting from Your access to or use of the Platform; (iii) any unauthorized access to or use of Our servers, any personal information, or any other data; (iv) any interruption of transmission to or from the Platform; (v) any bugs, viruses, trojan horses, or the like that may be transmitted on or through the Platform; and (vi) any damages, losses, costs, expenses, or liabilities of any kind incurred as a result of any content posted or shared through the Platform;
4. While using the Platform, You will be exposed to Content from a variety of sources, and that DoctorScore is not responsible for the accuracy, usefulness, safety, legality, or intellectual property rights of or relating to any such Content. You further understand and acknowledge that You may be exposed to Content that is inaccurate, offensive, indecent, objectionable, or harassing, and You agree to waive, and hereby do waive, any legal or equitable rights or remedies You have or may have against DoctorScore with respect thereto;
5. DoctorScore shall not be responsible for the delay or inability to use the Platform or related functionalities, the provision of or failure to provide functionalities, or for any information, software, functionalities, and related graphics obtained through the Platform, or otherwise arising out of the use of the Platform, whether based on contract, tort, negligence, strict liability or otherwise. Further, DoctorScore shall not be held responsible for non-availability of the Platform during periodic maintenance operations or any unplanned suspension of access to the Platform that may occur due to technical reasons or for any reason whatsoever;
6. DoctorScore shall not be responsible for any delay or inability to use any third party websites or hyperlinks provided on the Platform or for delay or inability to access services by the websites of concerned Partners for the purpose of You availing the Products or for any other purpose;
7. DoctorScore shall not be liable for any deficiency of services if any arises in relation to the Products offered by the Partners, including but not limited to cancellation of order. We shall not be liable for the general conduct of the Partners or their representatives, any unwarranted act performed by the Partner;
8. DoctorScore ensures that the details relating to pricing and availability of the Services on the Platform is accurate and up to date. However, rarely, there may be an error on the pricing of a Service or an error related to Service availability. In such cases, we are not responsible for any typographical errors and we reserve the right to cancel the Service offered to You;
9. To the fullest extent permitted by applicable law, You acknowledge and agree that in no event will DoctorScore be liable to You or to any third party for any indirect, special, incidental, punitive, or consequential damages (including for loss of profits, revenue, or data) or for the cost of obtaining substitute products, arising out of or in connection with these Terms, however caused, whether such liability arises from any claim based upon contract, warranty, tort (including negligence), strict liability, or otherwise, and whether or not DoctorScore has been advised of the possibility of such damages;
10. To the maximum extent permitted by applicable law, DoctorScore's total cumulative liability to You or any third party under these Terms, including from all causes of action and all theories of liability, will be limited to and will not exceed the amounts paid to DoctorScore by You to avail any of the Services on the Platform; and
11. You agree that the limitations of damages set forth above are fundamental elements of the basis of the bargain between DoctorScore and You.

13. Violation of the Terms

13.1 Remedies for Violation

You agree that any violation by You of these Terms will constitute an unlawful and unfair business practice, and will cause irreparable harm to DoctorScore, for which monetary damages would be inadequate, and You consent to DoctorScore obtaining any injunctive or equitable relief that they deem necessary or appropriate in such circumstances. These remedies are in addition to any other remedies that DoctorScore may have at law or in equity. If DoctorScore takes any legal action against You because of Your violation of these Terms, they will be entitled to recover from You, and You agree to pay, all reasonable attorneys' fees and costs of such action, in addition to any other relief that may be granted.

14. Suspension and Termination

14.1 Termination by User

The Terms will continue to apply until terminated by either You or DoctorScore as set forth below. If You object to the Terms or are dissatisfied with the Platform, You may (i) close Your Account on the Platform; and (ii) stop accessing the Platform. You may terminate these Terms and request deactivation of your Account and withdrawal of related consents by writing to security@DoctorScore.com. Your Account will be deactivated within 3 working days from receipt of such email.

14.2 Termination by DoctorScore

DoctorScore may delist You or block Your future access to the Platform or suspend or terminate Your Account if it believes, in its sole and absolute discretion that You have violated any term of these Terms or the Privacy Policy or in any way otherwise acted unethically or any other reason that DoctorScore may deem fit. Notwithstanding anything in this Section, all terms which by their nature are intended to survive such termination, will survive indefinitely unless and until DoctorScore chooses to terminate them.

15. Grievance Redressal Mechanism

15.1 Grievance Handling

If You have any grievances, or complaints or concerns with respect to the Platform, the Content, or the Services, You can contact the designated Nodal Grievance Officer of DoctorScore, namely, Ms. Sandhya Srinivasan (Service Head & Nodal Officer), at grievance@DoctorScore.com.

15.2 Response Timeline

The Nodal Grievance Officer of DoctorScore shall acknowledge the User grievances or complaints or concerns with respect to the Platform, the Content, or the Services, within 24 (twenty-four) hours of receipt of the same and shall endeavour to redresses the same at the earliest and in no event later than timelines prescribed by the relevant applicable laws. By lodging a complaint or grievance, You agree to provide complete support to the Nodal Grievance Officer and such reasonable information as may be sought by them from You.

15.3 Partner Services

DoctorScore shall not be responsible to redress grievances of users with regard to any of the services or Products provided by its Partners whether the service or Product is availed through the Platform or not. You should read the grievance redressal policy as well as other terms and policies of such Partner, prior to availing their Products or services.

16. Changes to these Terms

16.1 Modifications

DoctorScore may revise or modify or amend these Terms at any time. In the event of any such revisions, We will notify You of the revised Terms by sending You an email or when You access the Platform and update the "Last Updated" date at the top of these Terms.

17. Communications

17.1 Communication Methods

You hereby expressly agree to receive communications by way of SMS, WhatsApp and/or E-mails from DoctorScore relating to the Services provided through the Platform.

17.2 Automated Communications

You hereby expressly permit us to contact you via Auto Dialer calls, Robocalls or IVR calls relating to the Services provided through the Platform.

17.3 Opting Out

You can unsubscribe/ opt-out from receiving communications from DoctorScore anytime by visiting the Platform. In which case, the Company will only send you communications solely required for the purposes of the Services opted by you.

18. General Provisions

18.1 Notice

All notices from DoctorScore will be served by email to Your registered email address or by general notification on the Platform.

18.2 Assignment

You cannot assign or otherwise transfer the Services availed by You, or any rights granted hereunder to any third party. DoctorScore's rights under the Terms are freely transferable by DoctorScore to any third party without the requirement of seeking Your consent.

18.3 Severability

If, for any reason, a court of competent jurisdiction finds any provision of the Terms, or any portion thereof, to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to give effect to the intent of the parties as reflected by that provision, and the remainder of the Terms shall continue in full force and effect.

18.4 Force Majeure

DoctorScore shall not be liable to You for its failure to perform or for delay in providing You access to Your Account or to the Platform or any Services thereof, to the extent such failure or delay results from causes beyond its reasonable control, including, without limitation, acts of God, fires, explosions, wars or other hostilities, insurrections, revolutions, strikes, labour unrest, earthquakes, floods, pandemic, epidemics or regulatory or quarantine restrictions, unforeseeable governmental restrictions or controls or a failure by a third party hosting provider or internet service provider or on account of any change or defect in the software and/or hardware of Your computer system.

18.5 Choice of Law and Jurisdiction

These Terms will be governed by and construed in accordance with the laws of India, without giving effect to any conflict of laws rules or provisions. Any disputes arising in relation hereto between You and any Company shall be subject to the exclusive jurisdiction of courts at Chennai, India.

18.6 Waiver and Severability

The failure by DoctorScore to enforce any right or provision of these Terms will not prevent DoctorScore from enforcing such right or provision in the future and will not be deemed to modify these Terms.

Important Notice

DoctorScore will never ask you to make a payment anywhere outside the secure DoctorScore website. DO NOT make payment to any other bank account or wallet or divulge your bank/card details to fraudsters and imposters claiming to be operating on our behalf. We do not sell any loans on our own and do not charge any fee from our customers/viewers for the purpose of loan application.
